License Agreement
Circle Tree Multimedia LLC, d/b/a Arte City Media · Version 3 · Effective November 2, 2026
This License Agreement ("Agreement") is between Circle Tree Multimedia LLC, a Florida limited liability company, d/b/a Arte City Media, acting on behalf of Matthew Hoyos, the owner of the Licensed Content (together, "Licensor"), and the individual or entity that purchased the Licensed Content through MiamiStockVideos.com ("Licensee"). This Agreement is effective as of the date of purchase shown on Licensee's order confirmation.
1. Licensed Content
"Licensed Content" means the Miami aerial drone video footage Licensee purchased, specifically whichever of the following products appears on Licensee's order confirmation:
- Miami Stock Footage Volume 1 (63 clips)
- Miami Stock Footage Volume 2 (56 clips)
- Miami Stock Footage Volume 3 (51 clips)
- The Volume 1 + Volume 2 Bundle (119 clips)
- The Volume 2 + Volume 3 Bundle (107 clips)
- The Complete Volume 1 + Volume 2 + Volume 3 Bundle (170 clips)
together with all files, resolutions, and formats delivered by Licensor for that purchase.
2. License Fee
Licensee's one-time payment made at checkout is the full license fee for the Licensed Content. Once paid, this fee is fully earned — no royalties, renewal fees, or other recurring payments are owed for uses authorized by this Agreement.
3. Delivery
The Licensed Content is delivered by digital download or physical USB drive, per the option Licensee selected at checkout. Digital download links are available for a limited time after purchase; Licensee is responsible for downloading and backing up the Licensed Content within that window.
4. License Grant
Licensor grants Licensee a perpetual, worldwide, non-exclusive, non-transferable, royalty-free license to use, edit, crop, color-grade, re-cut, combine with other content, and create finished productions from the Licensed Content, and to publicly display, distribute, and broadcast those finished productions, in media now known or later devised.
Permitted uses include:
- Client productions, advertisements, and commercials
- Real estate, tourism, and marketing videos
- Documentaries, social media content, and websites
- Any other video or multimedia project, for Licensee or Licensee's own clients
Authorized users. If Licensee is a company, this license extends to its employees and independent contractors while they work on Licensee's projects. Licensee may deliver finished productions containing the Licensed Content to its clients, who may use those finished productions but receive no right to use the raw Licensed Content on its own.
This license has no expiration date and applies to an unlimited number of finished productions. Credit to Matthew Hoyos is appreciated but not required.
5. Ownership
Licensor retains full ownership and copyright in the Licensed Content, whether used as-is or edited. This Agreement grants a license to use the Licensed Content — it does not transfer ownership or copyright to Licensee. Licensee owns its finished productions, except for the Licensed Content contained in them, which remains Licensor's property.
6. Restrictions
Licensee may NOT:
- Resell, sublicense, redistribute, or share the raw, unedited Licensed Content as a stock footage product, footage pack, or asset library, in original or modified form, whether for free or for payment
- Include the Licensed Content in templates, presets, motion graphics packs, or similar products sold or shared for others to reuse, where the footage can be extracted or reused by others
- Use the Licensed Content, in whole or in part, to train, fine-tune, test, or develop any artificial intelligence or machine learning model, or include it in any dataset used for those purposes
- Use the Licensed Content in NFTs or other digital tokens
- Transfer or assign this license, or share the raw files with any third party, except as permitted in Section 4
- Claim original authorship or copyright over the Licensed Content
- Use the Licensed Content in pornographic, defamatory, or unlawful content
Incorporating the Licensed Content into a finished production — including one Licensee sells or delivers to its own clients — is permitted and is the intended use of this Agreement. The restrictions above apply to redistributing the raw source clips themselves as a standalone or reusable asset.
7. No Guaranteed Releases
The footage may incidentally depict buildings, signage, vehicles, individuals, or other third-party content. Unless stated otherwise in writing, no model, property, or trademark release is provided with the Licensed Content. Licensee is responsible for determining whether additional permissions are needed for its intended use, and shall not use the footage in a way that falsely suggests endorsement or affiliation.
8. Licensor's Warranty
Licensor represents that it owns or controls the copyright in the Licensed Content and has the right to grant the license in this Agreement.
9. No Other Warranty; Limitation of Liability
Except as stated in Section 8, the Licensed Content is provided "as is," with no warranty of fitness for a particular purpose. Neither party is liable to the other for indirect, incidental, or consequential damages arising from this Agreement. Licensor's total liability under this Agreement is limited to the amount Licensee actually paid for the Licensed Content.
10. Indemnification
Licensee will defend, indemnify, and hold harmless Licensor and Matthew Hoyos from any claims, damages, and costs, including reasonable attorneys' fees, arising from Licensee's use of the Licensed Content outside the scope of this Agreement or from the content of Licensee's finished productions.
11. Term and Termination
This license is perpetual, subject to Licensee's continued compliance with this Agreement. Licensor may terminate it upon Licensee's material breach if not cured within 30 days of written notice; unauthorized resale or redistribution permits immediate termination.
Upon termination, Licensee must stop using and delete all copies of the raw Licensed Content. Finished productions publicly released before termination in compliance with this Agreement may remain in distribution, but Licensor may require removal of any production that violates Section 6. Termination does not entitle Licensee to a refund.
12. Governing Law
This Agreement is governed by the laws of the State of Florida, with venue in Miami-Dade County, Florida.
13. General Terms
This Agreement is the entire agreement between the parties regarding the Licensed Content and supersedes any prior marketing statements, product descriptions, or communications on the subject. If any provision is found unenforceable, the remaining provisions stay in full effect. Licensor's failure to enforce any provision is not a waiver of it. Licensor may assign this Agreement. Licensor may update this Agreement for future purchases; the version posted at MiamiStockVideos.com at the time of Licensee's purchase governs that purchase.
14. Acceptance
This Agreement is available on MiamiStockVideos.com before purchase. By completing a purchase of the Licensed Content, Licensee confirms that it has read and agrees to the terms of this Agreement. No separate signature is required.
